Terms of Service
1. Who we are and acceptance
RetainSpace is provided by Social Impact Ltd, registered in England and Wales (company number 08995296), registered office 12 Limedale Avenue, Oakwood, Derby, England, DE21 2UE ("we", "us"). By creating an account or using the service you agree to these terms. If you do not agree, do not use the service.
2. The service
RetainSpace is a retainer workspace where consultants share deliverables, collect approvals, take client requests and show results, and where their invited clients log in to follow progress. We may change, add or remove features over time.
3. Your account
- You must be at least 18 and provide accurate information.
- You are responsible for keeping your login details secure and for activity under your account.
- You must tell us promptly of any unauthorised use at [email protected].
4. Plans, billing and cancellation
- You can build a workspace on the free plan. Inviting clients and sharing a public link require a paid plan.
- Free accounts have a build window after which editing is paused until you upgrade; your data is not deleted.
- Paid plans are billed in advance, monthly or annually, through our payment processor Stripe. Subscriptions renew automatically until cancelled.
- You can cancel at any time, effective at the end of the current billing period. Except where the law requires otherwise, fees already paid are non-refundable.
- We may change prices on reasonable notice; changes apply from your next renewal.
5. Your content and responsibilities
You keep ownership of the content you upload (deliverables, files, client and company details, and other workspace data). You grant us a licence to host, store, process and display that content as needed to provide the service.
You are responsible for the content you upload and for having the right and any necessary authority or lawful basis to upload it, including personal data about your clients. You must not use RetainSpace to store or share anything unlawful, infringing, harmful or abusive, and must not attempt to disrupt or gain unauthorised access to the service.
6. Client access
Consultants invite their own clients into a workspace. Those clients access only the workspace they are invited to, to view progress, approve work and submit requests. Consultants are responsible for who they invite and what they share.
7. Data protection
Our handling of personal data is described in our Privacy Policy. Where we process personal data about your clients on your behalf, we do so as your processor and on your instructions. If you require a separate data processing agreement, contact us.
8. Intellectual property
We and our licensors own the RetainSpace software, design and brand. These terms do not transfer any of our intellectual property to you. You may not copy, resell or reverse engineer the service except as the law allows.
9. Availability
We work to keep the service available and reliable, but we provide it "as is" and do not guarantee it will be uninterrupted or error free. We may carry out maintenance and may suspend the service where reasonably necessary.
10. Liability
Nothing in these terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or for fraud). Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, and our total liability to you in any 12 month period is limited to the fees you paid us in that period. The service is intended for business use, and we exclude liability under any consumer or statutory terms to the fullest extent the law allows for business customers.
11. Suspension and termination
You may stop using the service and close your account at any time. We may suspend or end your access if you breach these terms or if we reasonably need to protect the service or other users. On termination, your right to use the service stops; we handle your data as set out in the Privacy Policy.
12. Changes to these terms
We may update these terms from time to time. We will update the date above and, for significant changes, let you know. Continued use after a change means you accept the updated terms.
13. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
